By using the Services, you agree that you have read, understood, and are bound by these Terms, and that you comply with the requirements listed herein. If you do not agree to all of these Terms or comply with the requirements herein, please do not access the Platform or use the Services.

Services

  1. Building materials can only be supplied to registered businesses (B2B).
  2. Individual customers (B2C) cannot purchase construction materials directly through Nirmaankara.
  3. Invoices will be raised directly by Nirmaankara within 48 hours of delivery to businesses.
  4. Nirmaankara acts as an intermediary to facilitate project completion as per the agreement between the customer and an SP. Once the contract is executed, a copy submitted to Nirmaankara, and the project commences, Nirmaankara will assist with tracking project phases and development.
  5. Nirmaankara connects customers with service providers (individually, an "SP") in the construction and land development sectors. We help customers discover and select SPs based on relevant characteristics.
  6. Nirmaankara may share leads of customers inquiring for assistance in land development for a fixed commission fee. Nirmaankara will not be involved in negotiating the price of land.
  7. Nirmaankara offers digital promotion for its client partners for a fixed fee and will not negotiate property prices.
  8. Package rates are subject to build-up area and the number of floors.
  9. Timelines for the supply chain management (SCM) team to execute specific material categories are pre-specified.

Accessing and Using Our Site and Services

Initiating Service: You agree that any information you provide when creating your account is complete and accurate and agree to keep it up to date. For example, we may send notices via email to your account, and you agree to maintain a current and valid email as a means of providing such notices.

Restrictions: You will not, nor allow any third party to: modify, copy, or reproduce the Services in whole or in part; reverse engineer, decompile, disassemble, or derive the source code of the software; lease or lend the Services to any third party; remove proprietary notices; create derivative works; or use the Services for any unlawful purpose or contrary to these Terms. You agree to (1) ensure your users comply with these Terms, (2) use commercially reasonable efforts to prevent unauthorized access or use, and (3) use the Services only in accordance with the User Guide, laws, and regulations.

Charges: You agree that use of any SP’s Services will result in charges for the products or services provided by such SP ("SP Charges"), and using Nirmaankara’s Services will result in charges for the products or services provided by Nirmaankara ("Nirmaankara Charges"). You will be informed of Charges before services are provided. Applicable taxes will be added where required by law.

Payment: Payments for charges are due immediately upon the provision or start of services. Payments are final, nonrefundable, and at the discretion of Nirmaankara. Nirmaankara will only facilitate your payment to SP. Your purchases of services and products from an SP are transactions between you and that SP, not with Nirmaankara

Provision of Services

Technical Support: Nirmaankara will provide standard technical support as part of its Services. Nirmaankara provides access to its platform for all registered users to facilitate the provision of Services between SPs and customers. Nirmaankara is not a principal or agent of either the customer or SP and shall not be held liable for any transactions between users.

Nirmaankara prohibits users from uploading illegal, defamatory, discriminatory, improper, indecent, or objectionable content. Nirmaankara may delete the concerned user's account immediately without notice if such content is uploaded.

Account Information

  1. If the customer does not provide or withdraws consent, the SP must cease using the Services in relation to that customer.Nirmaankara may upload information relating to transactions with customers, including the sale of goods or services, costs, amounts paid, and other details on the Platform. Transaction Information may be exchanged between SPs and customers through various communication channels.
  2. When creating or uploading Transaction Information, Nirmaankara will inform customers of the use of the Platform and seek consent for:
    1. Creation of a customer profile on the Platform;
    2. Sharing Transaction Information with Nirmaankara and third parties to improve Services;
    3. Receiving communications related to their transactions, promotional offers, and other relevant matters.
  3. If the customer does not provide or withdraws consent, the SP must cease using the Services in relation to that customer.

Your Responsibilities

  1. While Nirmaankara endeavors to provide a daily backup, users should regularly save and back up their Transaction Information.
  2. You are solely responsible for ensuring compliance with applicable laws and for any liability arising from a breach of obligations.
  3. You will cooperate with Nirmaankara in the defense of any proceedings due to your breach of obligations.
  4. While Nirmaankara endeavours to provide a daily backup, users should regularly save and backup their Transaction Information.
  5. You may not:
    1. Infringe on proprietary rights;
    2. Copy or distribute Services without permission;
    3. Use the Services to transmit viruses or harmful programs;
    4. Engage in systematic retrieval of content from the Platform;
    5. Use the Services unlawfully or inconsistently with these Terms.

Intellectual Property

  1. All rights in the Platform and Services, including intellectual property rights, belong to or are licensed to Nirmaankara. Users are granted a limited, non-transferable license to use the Platform and Services under these Terms.
  2. Nirmaankara may request feedback from users and may use this feedback without payment or restriction.
  3. Except as stated in these Terms, nothing in these Terms confers any rights to intellectual property.

Term and Termination

  1. These Terms remain in effect unless terminated under these Terms.
  2. Nirmaankara may terminate your access to the Services if you breach any obligations under these Terms.
  3. Except as stated in these Terms, nothing in these Terms confers any rights to intellectual property.
  4. Upon termination:
    1. Services will be unavailable;
    2. You will no longer be eligible to use any features;
    3. These Terms will terminate except for clauses intended to survive.
    4. Upon termination, any outstanding amounts due must be paid immediately.

Disclaimers and Warranties

  1. The use of Services is at your sole risk.
  2. Nirmaankara does not sponsor or endorse any SP and is not responsible for verifying their qualifications.
  3. All non-Nirmaankara trademarks are the property of their respective owners. Any estimates provided are only guides and not guarantees.
  4. Nirmaankara is not responsible for any disputes or interactions between users and third parties.
  5. Nirmaankara is merely a technology platform provider and does not warrant uninterrupted or error-free operation.
  6. To the fullest extent permitted by law, Nirmaankara disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Indemnity

You agree to indemnify Nirmaankara, its affiliates, and representatives from any claims or damages arising from your use of the Services or violation of these Terms.

Limitation of Liability

Nirmaankara shall not be liable for any indirect, incidental, or consequential damages or loss of revenue arising from these Terms or the Services.

Consent to Use Data

  1. You agree that Nirmaankara may collect and use your information in accordance with its Privacy Policy.
  2. Nirmaankara may use your data for analytics and trend identification.
  3. Nirmaankara may disclose your data to law enforcement or government bodies if required.

Modification

Nirmaankara reserves the right to add, modify, or discontinue the Services at any time without notice. Nirmaankara is not liable for any such changes.

Compliance with Laws

You agree to comply with all applicable laws and regulations in your use of the Services. Nirmaankara reserves the right to suspend or terminate your use of the Services if non-compliance is detected.

Jurisdiction, Governing Laws, and Dispute Resolution

  1. These Terms are governed by the laws of India. Courts in Bangalore have exclusive jurisdiction.
  2. Disputes arising from these Terms will be resolved by arbitration in Bangalore under the Arbitration and Conciliation Act, 1996.
  3. Arbitration proceedings will be confidential, and decisions will be final.
  4. Each party will bear its own costs in arbitration.

Miscellaneous Provisions

  1. Nirmaankara reserves the right to modify these Terms and add new conditions.
  2. If any provision of these Terms is deemed unlawful or unenforceable, the remaining provisions will remain in effect.
